March 21st 2013, Consolidation Services, through its wholly owned subsidiary, Mongolia Equipment Rental Corporation (“MERC”), a Delaware corporation (the “Franchisee”) entered into an International Franchise Agreement with Hertz Equipment Rental Corporation and Hertz Equipment Rental System. Under the Franchise Agreement MERC will operate a business of renting, selling and maintaining equipment primarily for use in mining, construction, materials handling, commercial and industrial activities under the unique plan or system of Hertz Equipment in the country of Mongolia.
